These Website Terms and Conditions of Use (the “Terms”) are a legally binding agreement between you, personally and on behalf of any entity for which you use the website or services (“you” or “your”), and Waking Soul, Inc. d/b/a Soul of Yoga, Soul of Yoga Institute, and related Soul of Yoga programs and services (“Soul of Yoga,” “Company,” “we,” “us,” or “our”).
These Terms govern your access to and use of our website, online content, online accounts, class registration tools, livestreams, online courses, teacher trainings, yoga therapy education programs, private sessions, workshops, events, memberships, purchases, and related services that link to or reference these Terms (collectively, the “Services”).
By accessing or using the Services, creating an account, registering for a class or program, making a purchase, or clicking to accept these Terms, you agree to these Terms. If you do not agree, do not use the Services.
1. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. Changes become effective when posted unless a different date is stated. Your continued use of the Services after updated Terms are posted means you accept the updated Terms for future use. Material changes may be communicated by additional notice where appropriate.
2. Eligibility and Accounts
You may use the Services only if you can form a legally binding contract under applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
You are responsible for providing accurate, current, and complete account, registration, billing, and contact information and for keeping it updated. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly if you believe your account has been compromised.
Some Services may be offered through third-party platforms, including Mindbody, Thinkific, FitGrid, Loyalsnap, Keap, Google Workspace, Airtable, and other tools. Your use of those platforms may also be subject to their terms and policies.
3. Permitted Use of the Website and Services
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use or for legitimate participation in Soul of Yoga classes, trainings, programs, events, or services.
You are responsible for obtaining the equipment, internet access, software, and third-party accounts needed to access online Services.
4. Prohibited Conduct
You agree not to:
- Copy, modify, distribute, sell, lease, scrape, data mine, reverse engineer, decompile, disassemble, or attempt to discover source code or non-public features of the website or Services except as permitted by law;
- Use the Services for unlawful, deceptive, harmful, abusive, harassing, defamatory, obscene, invasive, hateful, violent, or infringing activity;
- Upload or transmit viruses, malware, spam, or other harmful code or content;
- Interfere with the security, integrity, availability, or operation of the Services;
- Use another person’s account or misrepresent your identity or affiliation;
- Collect or disclose another person’s personal, financial, health, or confidential information without authorization;
- Record, copy, redistribute, or commercially exploit classes, trainings, livestreams, online courses, handouts, manuals, videos, audio, or other Soul of Yoga content without written permission;
- Use the Services in a way that violates applicable law, these Terms, our posted policies, or the rights of any person or entity.
5. Classes, Trainings, Workshops, Events, and Online Programs
Additional terms, policies, schedules, prerequisites, tuition terms, refund rules, attendance requirements, certification requirements, codes of conduct, and program-specific policies may apply to particular classes, teacher trainings, yoga therapy programs, continuing education programs, retreats, events, workshops, online courses, livestreams, memberships, or private sessions.
If program-specific terms conflict with these Terms, the program-specific terms control for that program unless they state otherwise.
Class schedules, instructors, content, prices, availability, format, locations, livestream links, and program details may change. We may modify, reschedule, substitute instructors, cancel, or discontinue offerings where necessary or appropriate.
6. Health, Safety, and No Medical Advice
Yoga, movement, breathwork, meditation, yoga therapy education, bodywork, energy work, and wellness practices may involve physical, mental, or emotional risks. You are responsible for listening to your body, using good judgment, choosing appropriate participation levels, and stopping if you experience pain, dizziness, distress, shortness of breath, or other concerning symptoms.
Consult a qualified healthcare professional before participating if you are pregnant, injured, ill, taking medication, managing a medical or mental-health condition, recovering from surgery, or unsure whether a practice is appropriate for you.
Unless expressly stated in a separate written agreement, Soul of Yoga does not provide medical diagnosis, medical treatment, psychotherapy, or emergency care. Information provided through the Services is for educational and wellness purposes and is not a substitute for professional medical, mental-health, or other licensed healthcare advice.
You voluntarily assume the risks associated with participation in the Services to the fullest extent permitted by law.
7. Fees, Payments, Memberships, and Auto-Renewals
You agree to pay all fees, charges, tuition, memberships, subscriptions, payment plans, taxes, and other amounts shown at the time of purchase or registration. Prices are subject to change prospectively unless otherwise stated.
Payments may be processed by third-party payment processors or platforms, including Mindbody, Thinkific, Keap, or other vendors. You authorize us and our payment processors to charge the payment method you provide for approved purchases, memberships, subscriptions, payment plans, renewals, taxes, and other agreed charges.
For any membership, subscription, payment plan, or other recurring arrangement, the checkout or enrollment terms should clearly disclose the renewal amount, billing frequency, cancellation method, minimum commitment if any, and other material terms. By enrolling in a recurring arrangement, you authorize recurring charges until cancelled according to the disclosed cancellation terms.
If you enroll online in an automatically renewing or continuous service plan, we will provide an online cancellation method where required by law. For California consumers, automatic renewal and continuous service offers must include clear disclosures, affirmative consent, acknowledgment, reminders where required, and cancellation options consistent with applicable law.
You are responsible for keeping billing information current. If a payment fails, we may retry the payment, request updated information, suspend access, cancel unpaid services, or use lawful collection methods. You are responsible for reasonable collection costs where permitted by law.
8. Cancellations, Refunds, No-Shows, and Expiration Rules
Cancellation, refund, transfer, expiration, late-cancel, and no-show rules may differ by class, workshop, event, membership, training, online course, private session, retreat, or payment plan. The applicable policy will be the policy disclosed at registration, purchase, checkout, enrollment, or on the relevant program page.
Unless otherwise required by law or stated in a specific program policy, fees may be non-refundable after stated deadlines, after access to digital content is provided, after a program begins, or where limited-capacity services are reserved on your behalf.
We may offer credits, transfers, or make-up options at our discretion or as stated in program-specific terms. Promotional offers, discounts, scholarships, and special pricing may have additional restrictions.
9. Online Content, Livestreams, and Digital Access
Online courses, livestreams, recordings, downloadable materials, manuals, and other digital content are licensed, not sold, for your personal educational use unless a separate written agreement says otherwise.
Access periods, replay availability, platform requirements, and downloadable materials may vary by program. You may not share login credentials, redistribute recordings, download content except where expressly permitted, or use digital content to train others or create competing materials without written permission.
We are not responsible for internet outages, device limitations, platform downtime, third-party service interruptions, or user-side technical problems, but we may make reasonable efforts to support access when feasible.
10. Intellectual Property
All website content and Services, including text, graphics, logos, trademarks, service marks, designs, photos, videos, audio, recordings, manuals, handouts, training materials, curricula, course content, meditations, class formats, and software elements, are owned by Soul of Yoga or our licensors and are protected by intellectual property and other laws.
Except for the limited use license in these Terms, no right, title, or interest is transferred to you. You may not reproduce, modify, publish, distribute, display, perform, sell, license, create derivative works from, or exploit our content without written permission.
11. User Content, Reviews, and Testimonials
If you submit comments, reviews, testimonials, photos, videos, feedback, questions, or other content to us or to platforms we use, you represent that you have the right to do so and that your content does not violate any law or third-party rights.
You grant Soul of Yoga a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt content you submit for operating, improving, promoting, and providing the Services, subject to our Privacy Policy and applicable law. We will seek appropriate permission where required for use of identifiable testimonials, images, or likenesses in marketing.
We may remove or decline to publish user content at our discretion.
12. Third-Party Platforms, Links, and Services
The Services may include links to or integrations with third-party websites, platforms, and tools, including Mindbody, Thinkific, Loyalsnap, FitGrid, Google Workspace, Namaste Light by Emma, Google Analytics, Meta Ads, Microsoft Bing Ads, Reddit Ads, Google Ads, Keap CRM, Airtable, payment processors, social media platforms, video platforms, and other vendors.
We do not control third-party platforms and are not responsible for their content, availability, security, terms, privacy practices, fees, or performance. Your use of third-party platforms is governed by their own terms and policies.
13. Privacy
Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy and that your information will be handled as described there.
14. Disclaimers
To the fullest extent permitted by law, the website and Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.
We do not warrant that the Services will be error-free, uninterrupted, secure, available at all times, or meet your expectations. Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.
15. Limitation of Liability
To the fullest extent permitted by law, Soul of Yoga and its owners, officers, directors, employees, instructors, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, or use, arising from or related to the website, Services, or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for claims arising from or related to the website, Services, or these Terms will not exceed the greater of $500 or the amount you paid to Soul of Yoga for the specific Service giving rise to the claim during the three months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Soul of Yoga and its owners, officers, directors, employees, instructors, contractors, affiliates, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Services, your violation of these Terms, your violation of law, your user content, or your infringement or misuse of another person’s rights.
17. Suspension, Termination, and Discontinuation
We may suspend or terminate access to the Services, accounts, programs, or content if you violate these Terms, fail to pay amounts due, create risk or disruption, misuse the Services, or where required or permitted by law.
We may modify, suspend, discontinue, or restrict the Services, in whole or in part, with or without notice, subject to applicable law and any specific paid-program obligations.
18. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any rights you may have under applicable consumer protection laws, venue for any action arising from or related to these Terms or the Services will be in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.
19. Severability, Assignment, and Entire Agreement
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of business operations.
These Terms, together with the Privacy Policy and any program-specific terms or written agreements that apply to a particular Service, form the entire agreement between you and Soul of Yoga regarding the Services.
